TERMS OF USE

These Terms of Use (“Terms”) constitute a legally binding agreement between you, the user (“User” or “you”), and Agape Mental Health, LLC, a Massachusetts limited liability company (“Agape,” “Company,” “we,” or “us”), concerning your access to and use of the www.agape-mh.com website, and any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the “Website”).
- Acceptance of Terms
By accessing, browsing, or using the Website, you acknowledge that you have read, understood, and agree to be bound by all of these Terms of Use. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF USE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE WEBSITE AND YOU MUST DISCONTINUE USE IMMEDIATELY.
- Eligibility
The Website is intended for users who are at least eighteen (18) years of age or older. By using the Website, you represent and warrant that you are at least 18 years old or, if a minor, have obtained parental or guardian consent to use the Website. The Website is controlled and operated from the United States and is intended only for users within the United States. The availability of independent licensed clinicians and clinical services facilitated through Agape is strictly contingent upon the professional licensure and regulatory jurisdiction of the independent clinician. Agape makes no representation that any specific clinician or service is available to you in your geographic location. The ability to search for or view a provider on the Website does not constitute an offer or guarantee of service in your state.
- No Medical or Clinical Services
AGAPE MENTAL HEALTH, LLC IS A MANAGEMENT SERVICES ORGANIZATION (MSO) AND IS NOT A HEALTHCARE PROVIDER.
- Agape does not provide, nor does it purport to provide, any medical, mental health, diagnostic, therapeutic, or clinical services.
- The content, information, and services provided on the Website, including provider listings, general information about mental health conditions, and administrative content, are for informational and administrative purposes only.
- Nothing on this Website is intended to be a substitute for professional medical or mental health diagnosis, treatment, or advice. Always seek the advice of a qualified mental health professional or physician with any questions you may have regarding a medical or mental health condition.
- No Provider-Patient Relationship
Your use of the Website, including contacting Agape for administrative assistance or reviewing provider profiles, DOES NOT establish a provider-patient, therapist-client, or other clinical relationship between you and Agape or any of its personnel. A clinical relationship is only established upon formal intake, consent, and engagement with an independent licensed clinician.
- MSO Structure Disclosure
Agape Mental Health, LLC is an administrative and management services organization that provides non-clinical support services (including, but not limited to, billing, scheduling, and technology infrastructure) to a network of independent licensed clinicians.
- Independent Clinicians: All clinical services, including diagnosis, treatment, and ongoing patient care, are provided solely by independent, licensed mental health professionals who operate under their own professional licenses and National Provider Identifiers (NPIs).
- Clinical Autonomy: Independent clinicians retain full and sole clinical authority and responsibility for all aspects of patient care. Agape has no control over, and makes no decisions regarding, the clinical judgment, diagnosis, or treatment provided by the independent clinicians.
- Website Use and Permitted Use
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Website strictly in accordance with these Terms. You agree to use the Website only for lawful purposes. Prohibited uses include, but are not limited to:
- Uploading or transmitting any viruses, Trojan horses, or other malicious code.
- Attempting to reverse engineer or gain unauthorized access to the Website’s underlying infrastructure.
- Using any automated system, such as “robots” or “spiders,” to access the Website in a manner that sends more request messages to the Agape servers than a human can reasonably produce in the same period by using a conventional web browser.
- Engaging in any data mining, data harvesting, scraping, or similar data gathering and extraction methods.
- User Responsibilities
- Accuracy of Information: You warrant that all information you provide to Agape through the Website (e.g., in contact forms or pre-screening questions) is true, accurate, current, and complete.
- Prohibition on Submitting PHI: The Website is a non-clinical platform and is NOT a HIPAA-compliant environment for the transmission of Protected Health Information (PHI). You are expressly prohibited from submitting or transmitting any PHI through the general contact forms, comment sections, or any other publicly-accessible area of the Website. Any PHI or clinical data must be submitted through the designated, HIPAA-compliant Electronic Health Record (EHR) system used by the independent clinicians.
- Payment and Financial Responsibility
The fees for clinical services are determined solely by the independent clinicians. Agape Mental Health, LLC, as the MSO, facilitates administrative functions including billing, collections, and payment processing on behalf of the independent clinicians.
- You are solely responsible for verifying your insurance coverage, including copayments, deductibles, and out-of-pocket maximums, with your insurance carrier prior to receiving clinical services.
- By using the Website to engage with a provider, you acknowledge and agree that you are ultimately responsible for all charges incurred for clinical services provided to you by the independent clinician, regardless of your insurance coverage.
- Agape does not guarantee insurance reimbursement or coverage for any services.
- Intellectual Property Rights
Unless otherwise indicated, the Website and all content, features, and functionality (including, but not limited to, all information, software, text, displays, images, video, and audio) are owned by Agape Mental Health, LLC, and are protected by United States and international copyright, trademark, patent, and other intellectual property or proprietary rights laws. Your use of the Website grants you no right or license to reproduce or otherwise use any Agape or third-party trademarks.
- Third-Party Links and Platforms
The Website may contain links to other websites (“Third-Party Websites”) and third-party services. These links are provided solely as a convenience. Additionally, Agape utilizes various third-party administrative and clinical platforms, which may include Electronic Health Record (EHR) systems (e.g., PracticeQ or similar), scheduling systems, and telehealth platforms, to provide non-clinical support to the independent clinicians. Agape has no control over, and assumes no responsibility for, the content, privacy policies, practices, security, or performance of any Third-Party Websites or administrative platforms used by the independent clinicians. You acknowledge and agree that Agape shall not be responsible or liable for any damage or loss caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such Third-Party Websites or Platforms. Use of such third-party platforms is at your own risk and subject to their respective terms and policies.
- Disclaimer of Warranties
THE WEBSITE IS PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS.
- Agape expressly disclaims all warranties, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- Agape makes no warranty or representation regarding the accuracy, completeness, or reliability of the content on the Website. We do not warrant that the Website will be uninterrupted, error-free, secure, or free of viruses or other harmful components. - Force Majeure
Agape shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, without limitation, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes or shortages of transportation facilities, fuel, energy, labor, or materials, or failure of the internet, telecommunications, or third-party service providers.
- Indemnification
You agree to defend, indemnify, and hold harmless Agape Mental Health, LLC and its subsidiaries, affiliates, officers, agents, partners, and employees from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (a) your use of the Website; (b) your breach of these Terms of Use; (c) your violation of the rights of a third party, including but not limited to intellectual property rights; (d) claims arising from your use of the Website or interactions with independent providers; or (e) including claims related to services provided by independent clinicians.
- Data Security Disclaimer
Agape employs reasonable administrative, technical, and physical safeguards designed to protect the security and integrity of the non-PHI data collected on the Website. However, you acknowledge that no electronic transmission over the internet or information storage technology can be guaranteed to be 100% secure. Agape cannot guarantee the absolute security of the Website or its systems, and your use of the Website is at your sole risk.
- Privacy Policy Reference
Agape takes your privacy seriously. The Company’s Privacy Policy, located on the Website, explains how we collect, use, and disclose non-PHI information from you. The Privacy Policy is hereby incorporated into these Terms by reference. By using the Website, you also agree to be bound by the terms of the Privacy Policy.
- Electronic Communications Consent
You consent to receive communications from Agape electronically. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically, via email and on the Website, satisfy any legal requirement that such communications be in writing.
- Termination of Access
Agape reserves the right, in its sole discretion and without notice or liability, to terminate or suspend your access to all or part of the Website for any reason, including without limitation, breach of any representation or warranty contained in these Terms of Use.
- Governing Law and Jurisdiction
These Terms of Use and your use of the Website shall be governed by and construed in accordance with the laws of the State of Massachusetts, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in the State of Massachusetts.
- Dispute Resolution
- Mandatory Arbitration
Any legal controversy or claim arising out of or relating to these Terms of Use or the Website (excluding legal action taken by Agape to seek an injunction or other equitable relief related to the Website’s security or intellectual property) shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. The arbitration shall take place in Massachusetts.
- Class Action Waiver
You agree that you shall only resolve disputes with Agape on an individual basis, and may not bring a claim as a plaintiff or a class member in a purported class, consolidated, or representative action. YOU AND AGAPE WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE ACTION.
- Waiver
No waiver by Agape of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.
- Changes to Terms
Agape reserves the right to make changes or modifications to these Terms of Use at any time and for any reason. We will alert you about any changes by updating the “Effective Date” of these Terms of Use. You waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms of Use to stay informed of updates. Your continued use of the Website after the date such revised Terms of Use are posted constitutes your acceptance of the changes.
- International Users
The Website is controlled, operated, and administered by Agape from its offices within the United States. If you access the Website from a location outside the United States, you are responsible for compliance with all local laws.
- No Guarantee of Services or Availability
Agape does not guarantee the availability of any provider, appointment, or service listed on the Website. Access to clinical services is determined solely by independent providers and may vary based on availability, location, and other factors.
- No Emergency Services
The Website is not intended for use in medical or mental health emergencies. IF YOU ARE EXPERIENCING A CRISIS OR EMERGENCY, CALL 911 OR GO TO THE NEAREST EMERGENCY ROOM IMMEDIATELY.
- Marketing Disclaimer
Any descriptions of services or availability (e.g., “fast appointments,” “wide availability”) are for informational purposes only and do not constitute guarantees of service, appointment times, or clinical outcomes.
- Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
- Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Agape regarding use of the Website.
- Assignment
Agape may assign its rights and obligations under these Terms without restriction.
